1. Agreement to Terms

By accessing and using the services of Educeptis Africa Limited (RC: 8358339), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

  • Website maintenance and support
  • Domain and hosting setup services

3. Service Agreement and Scope

Project Scope

  • All projects require a signed agreement outlining scope, timeline, and deliverables
  • Changes to project scope may incur additional charges
  • Client must provide necessary content, materials, and feedback within agreed timeframes

Timeline and Delivery

  • Project timelines are estimates and may vary based on complexity and client responsiveness
  • Delays caused by client feedback or content provision may extend delivery dates
  • We will communicate any potential delays promptly

4. Payment Terms

Payment Schedule

  • 50% deposit required before project commencement
  • Remaining balance due upon project completion
  • Monthly maintenance fees are due in advance
  • All prices are in Nigerian Naira (₦) unless otherwise specified

Late Payments

  • Late payment fee of 5% per month applies to overdue amounts
  • Services may be suspended for accounts 30+ days overdue
  • Legal action may be taken for accounts 90+ days overdue

5. Intellectual Property Rights

Client Content

Client retains ownership of all content, images, and materials provided. Client grants us license to use these materials for project completion.

Developed Work

Upon full payment, client receives ownership of custom code and designs created specifically for their project. We retain rights to general methodologies, techniques, and reusable components.

Third-Party Components

Projects may include third-party libraries, frameworks, and tools subject to their respective licenses.

6. Client Responsibilities

  • Provide accurate project requirements and specifications
  • Supply necessary content, images, and materials in required formats
  • Respond to requests for feedback within agreed timeframes
  • Ensure all provided content is legally owned or licensed
  • Maintain backup copies of important data
  • Keep login credentials secure and confidential

7. Warranties and Disclaimers

Service Warranty

We warrant that services will be performed with professional skill and care. We provide 30-day warranty on new developments for bug fixes and functionality issues.

Disclaimers

  • No guarantee of specific search engine rankings or traffic levels
  • No warranty on third-party services or integrations
  • Client responsible for content accuracy and legal compliance
  • We are not liable for data loss due to client actions

8. Limitation of Liability

Our total liability for any claim shall not exceed the amount paid by client for the specific service giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.

9. Hosting and Maintenance

Hosting Services

  • Hosting services subject to provider terms and conditions
  • 99.9% uptime target, excluding scheduled maintenance
  • Client responsible for domain registration and renewal

Maintenance Services

  • Regular security updates and backups included
  • Content updates subject to scope limitations
  • Emergency support available during business hours

10. Termination

By Client

Client may terminate services with 30 days written notice. Completed work and expenses incurred are non-refundable.

By Educeptis

We may terminate services for non-payment, breach of terms, or illegal activities. Client will receive completed work upon payment of outstanding amounts.

11. Confidentiality

We maintain strict confidentiality of client information and project details. Non-disclosure agreements available upon request for sensitive projects.

12. Force Majeure

We are not liable for delays or failures due to circumstances beyond our control, including natural disasters, government actions, or internet service disruptions.

13. Dispute Resolution

Disputes will be resolved through good faith negotiation. If unsuccessful, disputes shall be subject to Nigerian law and jurisdiction of Nigerian courts.

14. Modifications

We reserve the right to modify these terms at any time. Clients will be notified of significant changes. Continued use of services constitutes acceptance of modified terms.

15. Severability

If any provision of these terms is found unenforceable, the remaining provisions shall remain in full force and effect.
